Transaction Award Text AMA

THIS CAPACITY IS RELEASED PURSUANT TO AN ASSET MANAGEMENT ARRANGEMENT (THE “AMA”) BETWEEN AMERICAN SODA, LLC (“AMERICAN SODA”), THE RELEASING SHIPPER, AND BP ENERGY COMPANY (“BP”), THE REPLACEMENT SHIPPER. BP, AS ASSET MANAGER, WILL ACQUIRE 47,000 MMBTUS/DAY OF AMERICAN SODAS CAPACITY FOR EVERY MONTH FOR THE PERIOD FROM NOVEMBER 01, 2025 THROUGH OCTOBER 31, 2028. SUBJECT TO THE TERMS OF THE AMA, BP AGREES TO SELL AND DELIVER NATURAL GAS TO AMERICAN SODA ON EACH DAY OF THE TERM OF THE AMA IN AN AMOUNT UP TO ONE HUNDRED PERCENT (100%) OF THE RELEASED CAPACITY. THE CAPACITY IS RECALLABLE UPON (I) THE TERMINATION OF THE AMA, OR (II) THE MUTUAL WRITTEN AGREEMENT OF THE PARTIES. THIS CAPACITY RELEASE IS A ZERO RATE RELEASE TO BP.
